Confidentiality Agreement
I the undersigned hereby agree that:
The Leisure Clubs Property Agency (LCPA: 7 Littleham Road, Exmouth, Devon EX8
2QQ) shall
make available to me (herein after known as the prospect) certain confidential
information relating to the affairs of businesses, which I could be interested
in purchasing. I agree to obtain, inspect and use information only for the
purpose of evaluating the business potential in relation to my own possible
involvement and otherwise hold such information confidential and secret pursuant
to the terms of this agreement.
NOW IT IS HEREBY AGREED AS FOLLOWS:
- The LCPA shall send to the prospect
confidential information described above.
- The prospect agrees to hold all
confidential or propriety information or trade secrets
("information") in trust and confidence and agrees that the
information shall only be used for the contemplated purpose and not for any
purpose or disclosed to any third party under any circumstance whatsoever.
- No copies of the information may be
made or retained.
- At the conclusion of our discussions
or upon demand by LCPA all information including written notes, photographs
or memoranda shall be promptly returned to LCPA. The prospect shall retain
no copies or written documentation relating thereto.
- This information shall not be
disclosed to any employee, consultant or third party unless that third party
agrees to execute and be bound by the term of agreement and such disclosure
is first approved by LCPA.
- It is understood that the prospect
shall have no obligation with respect to any information known by the
prospect or as may be generally known within the industry prior to the date
of this agreement or that shall become common knowledge within the industry
thereafter. Any claims to prior knowledge by the prospect must be
substantiated with irrefutable dated documentary evidence.
- The prospect acknowledges the
information disclosed herein contains proprietary or trade secrets and in
the event of any breach the LCPA shall be entitled to apply for an injunctive
relief and to claim damages of breach and the prospect agrees to bear the
costs of such action.
- The prospect agrees not to visit,
contact, telephone or communicate in any way whatsoever with any of the
companies whose information has been provided by LCPA without expresses
authority from LCPA.
- This agreement shall be binding upon
and inure to the benefit of the parties their successors and assignees.
- This constitutes the entire
agreement.
